(2) The Company may amend these Terms within the limits of applicable law, announcing the effective date and the changes at least 7 days in advance (30 days for changes unfavourable or material to customers), and giving individual notice by email for unfavourable changes. (3) A Customer who continues to use the Service without objecting by the effective date is deemed to have accepted the amended Terms; a Customer who does not accept may terminate the agreement.
Article 4 (Formation of the Agreement)
(1) The agreement is formed when the Customer accepts these Terms and the Personal Data Processing Agreement (annex), applies for the Service, and the Company accepts the application. (2) The Company may withhold or refuse acceptance for reasonable causes such as capacity limits, technical constraints or false statements in the application. (3) These Terms apply equally to free trial use under Article 8.
Article 5 (Accounts and Security)
(1) The Customer administrator manages the registration, suspension and deletion of users and their permissions, and is responsible for activity within the Customer's account. (2) The Customer and its users may not transfer or lend account credentials, must keep passwords secure, and must notify the Company immediately upon becoming aware of any misuse. (3) The Company maintains its own security measures, including server-side permission checks and encryption at rest.
Article 6 (Content of the Service)
The Company provides a cloud subscription ERP covering accounting, sales and purchasing, inventory and production, HR and payroll, trade, group finance and corporate governance. The scope of features depends on the subscription tier; the features and limits of each tier are posted in the pricing guide on the website. The interface is available in Korean, English, Bengali and Turkish; available languages may differ by the Customer's country.
Article 7 (Fees and Payment)
(1) Fees consist of monthly subscription charges in five tiers — Basic, Business, Professional, Advanced and Enterprise — as posted in the pricing guide. Value added tax is charged in addition to all fees. (2) Each tier includes one company (legal entity or business) and a set number of users; adding companies or users beyond the included limits incurs additional charges, calculated pro rata by day from the day of addition to the day of removal, and additions take effect only with the Customer administrator's prior consent given on screen. (3) The implementation fee for the Advanced and Enterprise tiers is a licence fee for a five-year term, set separately; renewal upon expiry follows the then-current pricing guide or an individual agreement. (4) Payment methods, payment dates and annual-payment discounts are set in the pricing guide or an individual agreement. (5) Usage-based costs of third-party services such as Popbill are added to the monthly invoice at cost.
Article 8 (Free Use and Discounts)
(1) The Company may provide the Service free of charge to trial customers for a defined period, stating the period and conditions at application and giving advance notice by email or on screen no later than 7 days before the free period ends. (2) If the free period ends without conversion to a paid plan, only the creation of new records is restricted; viewing, editing, printing and exporting of data already entered remain available during the retention period of Article 13. (3) The Company may agree individual discounts for a defined period in writing (including electronic documents); when a discount period ends, the then-current list price applies, with advance notice.
Article 9 (Refunds)
(1) Before using the Service, the Customer may request a full refund within 7 days of payment. (2) A monthly subscription may be cancelled at any time, but fees for a billing period already begun are not refunded. (3) If an annual subscription is terminated mid-term, the Company refunds the balance after deducting the months used, valued at the undiscounted monthly rate. (4) One-off fees such as implementation fees are refunded in full before work begins and net of work already performed thereafter. (5) If the Company fails to provide the Service for reasons attributable to it, fees for the remaining period are refunded in full.
Article 10 (Ownership and Processing of Customer Data)
(1) Ownership of and all rights in Customer data belong to the Customer. The Company processes Customer data only to provide the Service, respond to incidents, make backups and comply with legal obligations, and does not use it for other purposes or provide it to third parties. (2) The processing of personal data within Customer data is additionally governed by the Personal Data Processing Agreement (annex) and the Privacy Policy. (3) The Customer may export its data at any time using the export functions of the Service.
Article 11 (Screen Access for Customer Support)
(1) The Company's support staff may view a Customer's screens only where necessary to handle the Customer's enquiry, and only under all of the following conditions: access is granted case by case by the Customer administrator; access is read-only; access lasts only for the period set when granted; and the reason, time and person of access are recorded. (2) Payroll, resident registration numbers, bank account numbers, personal finance data and the amounts of payroll and labour-cost accounts are excluded from such access and are not visible to support staff. (3) The Customer administrator can see on screen who accessed what, when, and for what reason.
Article 12 (Unpaid Fees and Restriction of Use)
(1) If fees are unpaid, the Company will demand payment; if payment is not made within 14 days of the demand, the Company may restrict the creation of new records. Article 13 (Termination and Handling of Data)
(1) The Customer may terminate the agreement at any time by notice to the Company. (2) After the agreement ends, the Company does not delete Customer data immediately; for 30 days from the end date the data remain available for viewing and export. (3) After that period the Company destroys the Customer data irrecoverably within 7 days and notifies the Customer of the destruction; data whose retention is required by law are kept separately for the statutory period and then destroyed. (4) If the Customer so requests in writing within the retention period, the Company destroys the data without delay before the period expires.
Article 14 (Changes and Suspension of the Service)
(1) The Company may improve and change the Service, giving at least 30 days' notice of material changes unfavourable to customers. (2) Planned interruptions such as maintenance are announced in advance; unavoidable interruptions such as equipment failure are notified without delay afterwards. (3) If the Company intends to discontinue the Service permanently, it will give at least 90 days' notice and guarantee the opportunity to export Customer data.

For material breaches the Company may demand correction and, failing correction, restrict use or terminate the agreement.

(2) Unless caused by the Company's intent or gross negligence, the Company's liability is limited to the total fees actually paid by the Customer in the 12 months preceding the event. (3) The Company is not responsible for the content or legality of data entered by the Customer, nor for the outcome of the Customer's tax or labour filings; figures and determinations provided by the Service are reference material, and applicable law and professional advice prevail.
